END-USER LICENSE AGREEMENT (EULA)
This End-User License Agreement ("Agreement") is a legal contract between you and NuEdge Development, the creator and owner of the Sonic Charge brand, regarding your use of Sonic Charge Microtonic, Sonic Charge Synplant, Sonic Charge Bitspeek, Sonic Charge Permut8, and Sonic Charge Echobode (collectively referred to as "Sonic Charge Plugins"). By installing or using Sonic Charge Plugins, you agree to be bound by the terms of this Agreement. Please read these terms carefully. Sonic Charge Plugins are licensed, not sold, and all ownership rights, including intellectual property rights, remain with NuEdge Development. You do not obtain any ownership rights to the software. NuEdge Development reserves the right to amend this Agreement. Material changes will be communicated to you through reasonable means, such as email notifications, in-software notices, or updates on our website. Your continued use of Sonic Charge Plugins after such changes indicates your acceptance of the revised terms.
GENERAL TERMS AND CONDITIONS
Sonic Charge Plugins are licensed to you by NuEdge Development under the terms of this Agreement. You are granted a non-exclusive, revocable license to install and use the software on devices you own or control. This Agreement is governed by and construed in accordance with the laws of Sweden, with disputes subject to the jurisdiction of the courts in Stockholm, Sweden. This choice of law and jurisdiction applies globally, except where prohibited by local laws in your jurisdiction, in which case the local laws will govern any disputes without regard to conflict of law principles. You agree to use the software in compliance with all applicable laws, maintain the confidentiality of your registration keys and Sonic Charge account credentials, and notify NuEdge Development immediately of any unauthorized use. Licenses granted under this Agreement allow for the royalty-free use of Sonic Charge Plugins in your productions, recordings, or performances. Sonic Charge Plugins may be used under one and only one of the two licensing terms listed below. Once you begin using Sonic Charge Plugins under either personal or site license terms, you must adhere to those terms consistently. Switching between personal and site usage without obtaining a new license is prohibited.
PERSONAL USAGE TERMS (personal license)
Using Sonic Charge Plugins under the terms of personal usage grants an individual the right to install and activate the software on any number of concurrent devices, with use limited to that individual only. You must unregister or uninstall the software from any public or shared device after use.
CORPORATE USAGE TERMS (site license)
Using Sonic Charge Plugins under the terms of corporate usage grants an organization the right to install and activate the software on a single device, with use limited to one individual at a time. The software may be registered or activated on a new device, provided it is first uninstalled from the original device. Additional licenses must be obtained if the software is to be installed on multiple devices simultaneously. If an organization holding a license is liquidated through bankruptcy, dissolution, or any similar legal process, all licenses will automatically terminate, as outlined in the TERMINATION section. In the case of a merger or acquisition, the license may be transferred to the surviving or acquiring entity by following the standard license transfer process outlined below.
LICENSE TRANSFER
The licenses granted under this Agreement are non-transferable, meaning you may not sell, gift, or otherwise transfer the software or any rights granted to any third party. Upon request, NuEdge Development may permit the transfer of one or more licenses to a third party, which involves terminating the original license(s) and issuing new license(s) to the transferee. A transfer fee applies to each transfer event, regardless of the number of licenses being transferred. Unauthorized transfer, sale, or gifting of licenses is strictly prohibited.
LEASED LICENSES
A leased license grants you month-to-month access to Sonic Charge Plugins under either personal or site license terms. By using Sonic Charge Plugins with a leased license, you agree that the software will automatically contact NuEdge Development servers to verify and renew your license at least once per month. An active internet connection is required for activation and periodic verification to ensure your license remains valid, allowing uninterrupted access to the software. Failure to renew your leased license will temporarily suspend access to the software after a grace period of no less than 14 days. NuEdge Development reserves the right to terminate a leased license if any terms of this Agreement are violated. Upon termination, access to the software will be immediately revoked. NuEdge Development shall not be held responsible or liable for any loss, including but not limited to those detailed in the LIABILITY section of this Agreement, arising from an interruption in the internet connection or any other cause.
RENT-TO-OWN (payment plan)
When you acquire Sonic Charge Plugins through the Rent-to-Own program, you enter into a month-to-month leased licensing agreement for the duration of the payment plan. Each monthly payment is non-refundable and grants access to the software for that specific month. You may cancel the Rent-to-Own plan at any time before the start of the next billing period to avoid future charges. Upon completing the Rent-to-Own plan, which requires all installment payments without refunds or chargebacks, your leased license will automatically convert to a perpetual license. A perpetual license grants you indefinite rights to use the software under the terms of this Agreement. Alternatively, you may pay off the remaining plan balance anytime, immediately converting your license to a perpetual one. If the Rent-to-Own program is discontinued, users will be granted a perpetual license, free of charge, unless they are allowed to complete their active payment plan. If the software version is discontinued during your active payment plan, NuEdge Development will either extend support until the end of your payment plan or replace it with an upgraded version at no additional cost. If a scheduled payment is missed or if you cancel your Rent-to-Own plan, access to the software will be suspended. The ability to resume a suspended plan depends on the availability of the current software version. NuEdge Development reserves the right to terminate the Rent-to-Own Agreement if payments are not made in a timely manner or if any terms of this Agreement are violated. Upon termination for non-payment or breach of terms, access to the software will be immediately revoked.
EVALUATION
Subject to the terms and conditions of this Agreement, you are granted the right to use Sonic Charge Plugins for evaluation purposes without charge during a specified limited period. During this evaluation period, certain features of the plugins may be restricted or disabled. Once the evaluation period expires, the software will either cease to function or continue to operate with limited functionality until a full license is purchased. If you plan to use Sonic Charge Plugins on an ongoing basis for your productions, recordings, or performances, you must acquire a full license. Any attempt to circumvent the evaluation limitations or extend the evaluation period without authorization is prohibited and will terminate your rights to use the software.
UPDATES AND UPGRADES
The license granted under this Agreement applies to the specific version of Sonic Charge Plugins for which it was purchased. NuEdge Development may, at its sole discretion, provide updates or upgrades to Sonic Charge Plugins. Minor updates, such as bug fixes and security patches, may be provided free of charge to licensed users. Major upgrades that introduce significant new features or enhancements may require purchasing a new license or an upgrade, with terms specified at the time of release. NuEdge Development reserves the right to classify any product covered by this license as "end-of-sales" or "end-of-life." Once a product is designated as such, no further updates, upgrades, or support will be provided.
TERMINATION
The license granted to you for Sonic Charge Plugins remains effective until terminated. This license will automatically terminate without notice from NuEdge Development if you fail to comply with any terms and conditions of this Agreement. Additionally, if an organization or entity holding a license is liquidated, whether through bankruptcy, dissolution, or any similar legal process, all licenses will automatically terminate. Upon termination, you must immediately cease all use of Sonic Charge Plugins and destroy all copies, including any software, registration keys, and documentation in your possession or control. NuEdge Development may enforce any and all rights provided by law in the event of termination due to your breach of this Agreement. The provisions of this Agreement that protect the proprietary rights of NuEdge Development, including but not limited to Copyright, Warranty Disclaimer, Liability Limitation, Indemnification, and Severability and Waiver, along with any other sections that by their nature should survive termination, will continue to be enforceable after termination. You may voluntarily terminate this license at any time by destroying all copies of Sonic Charge Plugins, including any software, registration keys, and documentation in your possession or control. In the event that NuEdge Development is liquidated, dissolved, or ceases operations, users with valid licenses may continue using the current version of Sonic Charge Plugins under the terms of their existing licenses, though further updates, upgrades, or support may not be provided.
OWNERSHIP CHANGES AND LIQUIDATION
If NuEdge Development is acquired, merges with another entity, undergoes restructuring, or sells its assets, all rights and obligations under this Agreement will transfer to the acquiring or successor entity. The acquiring entity reserves the right to modify the terms of this Agreement following such a transaction. Any material changes will be communicated to license holders, ensuring transparency and allowing users to assess new terms. If NuEdge Development is liquidated, dissolved, or ceases operations, all valid licenses will remain in effect, allowing users to continue using the last available version of Sonic Charge Plugins indefinitely under the existing terms.
DISTRIBUTION
You are permitted to make and distribute exact copies of the original release version of Sonic Charge Plugins, including its accompanying documentation, provided that these copies are not modified in any way. Distribution of alpha or beta versions, as well as modified versions of the software, is strictly prohibited without prior written consent from NuEdge Development. You may not charge any fees or request donations for distributing Sonic Charge Plugins. Additionally, you are prohibited from distributing the software or documentation alongside, bundled with, or as part of other products, whether commercial or non-commercial, without prior written permission from NuEdge Development. Distributing, lending, renting, selling, or giving away registration keys or access to Sonic Charge accounts is strictly prohibited.
DECOMPILING, DISASSEMBLING, OR REVERSE ENGINEERING
Sonic Charge Plugins contains copyrighted material, trade secrets, and other proprietary information of NuEdge Development. Except as permitted by law, you are prohibited from decompiling, disassembling, reverse engineering, or attempting to discover the source code, algorithms, or methods of Sonic Charge Plugins. You may not display, distribute, or transmit any part of the object code, including making hardcopy memory dumps or circumventing any copy protection mechanisms. Additionally, you may not copy, modify, adapt, translate, sell, distribute, lend, rent, lease, or create derivative works of the software in whole or in part. If you require interoperability information, you must request it from NuEdge Development, which will assess and respond under reasonable conditions. If you violate these prohibitions, NuEdge Development reserves the right to pursue all available legal remedies, including but not limited to seeking damages and injunctive relief, to the fullest extent permitted by law.
WARRANTY DISCLAIMER
To the fullest extent permitted by applicable law, Sonic Charge Plugins are provided "as is" and without any warranties of any kind, express or implied. NuEdge Development specifically disclaims all implied warranties, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. You assume all responsibility and risk for the installation and use of Sonic Charge Plugins, as well as the results obtained from it. NuEdge Development does not warrant that Sonic Charge Plugins will meet your requirements, operate uninterrupted, or be error-free.
LIABILITY LIMITATION
To the maximum extent permitted by applicable law, the total liability of NuEdge Development for any direct damages arising out of or related to this Agreement shall not exceed the amount paid by you for the software. NuEdge Development shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, lost profits, loss of data, business interruption, or any other commercial damages or losses, even if NuEdge Development has been advised of the possibility of such damages. This limitation applies to any claims arising from the use of or inability to use Sonic Charge Plugins, whether based on warranty, contract, tort, or any other legal theory.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless NuEdge Development, its affiliates, officers, directors, employees, agents, licensors, contractors, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your breach of this Agreement, your use or misuse of Sonic Charge Plugins, violation of any rights of another, or any unlawful or prohibited use of Sonic Charge Plugins. This indemnification obligation will continue to be in effect after the termination or expiration of this Agreement and your use of Sonic Charge Plugins.
COPYRIGHT
Sonic Charge Plugins, including the software, documentation, and any content created by NuEdge Development, is owned and copyrighted by NuEdge Development, 2003-2024, all rights reserved. These materials are protected by Swedish copyright laws and international treaty provisions. Third-party patches and presets included with Sonic Charge Plugins remain the property of their original creators and are also protected under applicable copyright laws. You are prohibited from removing, altering, or obscuring any copyright or proprietary notices contained within Sonic Charge Plugins. The Steinberg VST PlugIn SDK is copyrighted by Steinberg Soft- und Hardware GmbH. VST is a trademark of Steinberg Media Technologies GmbH, registered in Europe and other countries.
CONTENT USAGE AND LIMITATIONS
NuEdge Development certifies that all patches and presets included with Sonic Charge Plugins, whether created by NuEdge Development or third-party, are provided royalty-free. You are granted an unlimited license to use these patches and presets in your commercial or non-commercial audio productions, recordings, or performances. While you are free to create, sell, and distribute any content or production that incorporates Sonic Charge Plugins, you are prohibited from using the included patches and presets, whether in their original form or modified to the extent that they remain substantially recognizable, to create and sell them as standalone products. Standalone products are defined as products whose primary value derives from the patches or presets themselves, such as sample libraries, sound packs, or similar packages. If you have any questions or require additional rights beyond these stipulations, please contact Sonic Charge Support for more information.
PRIVACY AND DATA USAGE
Sonic Charge Plugins does not collect or transmit any personal user data without your explicit consent, except for information necessary for license activation and verification to ensure compliance with the terms of this Agreement. This information is used solely to verify and manage your license. For more information on how NuEdge Development collects, uses, and protects your data, please refer to our Privacy Policy, available on our website at https://soniccharge.com/privacy.
SEVERABILITY AND WAIVER
This Agreement constitutes the entire agreement between you and NuEdge Development regarding the use of Sonic Charge Plugins and supersedes any prior written agreements relating to the subject matter of this Agreement. If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, it shall be severed from this Agreement. The remaining provisions of this Agreement shall remain in full force and effect. Any failure by NuEdge Development to enforce any part of this Agreement shall not constitute a waiver of any rights under this Agreement, whether for past, present, or future actions, and no waiver shall be deemed to have been made unless expressed in writing and signed by an authorized representative of NuEdge Development.
